Credible AI adoption in legal and compliance teams produces work that a responsible person can accept, explain and use. Start with a bounded artifact, such as an internal contract-obligation memo, and establish its permitted inputs, sources, reviewer and destination. Then examine the complete effort required to make that artifact dependable.
For an in-house legal operations or compliance lead, the useful question is whether the accepted work improves, with its checking burden included. Licence counts and polished drafts cannot settle that question. The roles and industries guide places this decision inside the actual work of each function.
This article uses US professional guidance to examine an internal memo workflow. The responsible legal team must resolve the applicable jurisdiction, professional duties, client arrangements and information restrictions for its own work.
Choose a piece of work someone can accept
Suppose Sam Taylor supports legal operations at a food distributor. Procurement wants to understand the notice arrangements before renewing an equipment-servicing agreement. Sam proposes using an approved assistant to prepare a short internal memo from the signed agreement and a later amendment. Claire Bennett, the responsible counsel, will review the memo before procurement receives it.
The proposed output is specific: a source-linked account of the relevant provisions, any differences between the documents, and questions Claire must resolve. It does not send a notice, decide the company's legal position or authorize a supplier commitment.
Agree the assignment before trying it:
- Inputs: the identified signed agreement, later amendment and procurement's actual question, with permission for this use established.
- Output: a concise memo that distinguishes document text, proposed interpretation and unresolved questions.
- Reviewer: someone with the expertise, authority and time to check this particular work.
- Recipient: the procurement colleague who needs an approved answer or a clearly assigned open question.
The Association of Corporate Counsel's 2025 AI toolkit, particularly checklist 5, treats legal adoption as a managed project with explicit scope, responsibilities, testing and measures. It also distinguishes potential uses such as finding contract terms, drafting communications and regulatory work. Those possibilities need separate acceptance decisions.
A contract memo and a regulatory-change assessment may share a tool while requiring different sources and reviewers. A compliance colleague can help define what operational information is needed; counsel still resolves legal interpretation where that is required. Avoid making one person nominally responsible for every output merely because they administer the software.
Resolve the information boundary before supplying the documents
A company-approved tool is a starting point for diligence. The next question is whether the proposed documents and use are covered by that approval.
The ABA's Formal Opinion 512, issued July 29, 2024, applies its Model Rules to generative AI. Its confidentiality analysis is fact-specific: the client, matter, task and tool affect the assessment. It calls for understanding relevant terms and who can access information, including through consultation with appropriate experts. The opinion is professional guidance, rather than a universal permission rule for every jurisdiction.
For Sam's proposed memo, the information owner and legal team should settle these questions before any upload:
- Does approval cover this agreement, its amendment and the intended purpose?
- Who can access the inputs and resulting memo?
- What do the relevant service terms and settings say about use, storage and retention?
- Are there client, matter or contractual restrictions requiring a different route?
The approved practice exercise can use recreated documents while these questions are unresolved. Removing names alone does not establish that an actual agreement may be uploaded. A demonstration should not quietly become the first live use of restricted material.
Use the existing permissions review when access is the unresolved issue. Keep private matter material in the appropriate restricted process rather than copying it into a broad adoption discussion.
Follow the amendment through to the memo
Imagine that the assistant produces a clear paragraph about notice instructions and links to a real passage in the original agreement. The later amendment contains different notice instructions, but the draft does not mention it.
Checking that the quoted passage exists would catch a fabricated quote. It would not catch this omission. Sam's next step is to establish whether both documents were included and examined, then bring the difference to Claire. Claire must determine what the documents mean together before the memo can support procurement's next action.
A useful review record keeps several questions separate:
| Review question | Evidence in this memo task | Who resolves the issue |
|---|---|---|
Did the draft use the intended document set? | Identified agreement and amendment, with any unreadable or omitted material noted | Sam checks coverage and escalates gaps |
Does the extract match the document? | The exact passage, location and relevant surrounding terms | The reviewer checks the source text |
Does the proposed conclusion follow? | The provisions considered together, assumptions and any external authority needed | Claire applies the required legal judgment |
Can procurement act on the answer? | Accepted wording, remaining questions and the responsible next person | Claire and the receiving colleague confirm the handoff |
A real clause location leaves other questions open
Original agreement passage
The quoted notice provision has been found and matches the original document.
Later amendment
Different notice instructions still need to be examined with the original agreement.
Memo for procurement
Counsel must resolve the interpretation before the answer can support the next action.
The figure shows a possible review state before acceptance. Locating one genuine provision is useful progress, but the amendment question remains open. The record should preserve that uncertainty rather than let a confident sentence imply that the question has been settled.
Retrieving the missing amendment changes what the reviewer has to examine. A tidy summary of the original agreement cannot supply that missing coverage.
This distinction appears in a May 2026 Reddit discussion. A user who described being a transactional attorney at a large firm said they give AI narrow assignments, check quotations and section references, and trace a proposed conclusion back to the actual materials. Their practical improvement was making that chain inspectable; work they could not validate was revised or discarded. Their identity and results were not independently verified, and their account concerned transaction documents more than case-law research.
That detail matters for adoption training. Ask a colleague to explain why a memo is ready, including what was missing and how it was resolved. Producing a fluent first draft is only part of the exercise.
Check the proposition as well as the citation
A memo can move from contract extraction into a claim about the law in a single sentence. For example, an assistant might add that a particular notice method is legally sufficient without supplying an adequate basis. That is a new research question, even if the preceding contract quotation is accurate.
The TRI/National Center for State Courts' February 2026 practitioner guidance describes errors that include distorted holdings, unsupported propositions and blended jurisdictions, alongside invented authorities. Finding a real case or rule therefore does not establish that it supports the proposed statement in this matter.
For a legal proposition, give the qualified reviewer specific questions to resolve:
- What does the actual source say about the proposed point?
- Does it apply to the relevant facts and jurisdiction?
- Is its current status suitable for the intended use?
- What contrary authority, exception or missing context could change the answer?
A link or an assistant's confidence label cannot settle those questions. Keep the issue open if the necessary research cannot be completed.
In an April 2025 LinkedIn column, Dhara S. discussed a legal-tool benchmark and distinguished usefulness from accuracy. Her examples included locating defined terms and contract provisions, alongside a warning about false premises in questions. This was commentary on another researcher's benchmark, not evidence that a particular employer achieved a result or that those product comparisons still hold today. The useful planning lesson is to test the assignment and the acceptance criteria separately.
The Reddit discussion also exposed a harder search problem. One commenter questioned how to detect missing authorities; a reply described finding a case with a particular fact pattern while explicitly saying the tool could not establish that no such case existed. These are anonymous perspectives, but they identify different demands: finding a useful lead and demonstrating completeness.
For the renewal memo, “no relevant amendment found” must not silently become “there is no relevant amendment.” Resolve document coverage through the agreed records and owners. Likewise, do not turn an unsuccessful AI search into a legal conclusion about the absence of an applicable rule.
Count the work required to reach acceptance
Compare equivalent finished outputs. Record preparation, drafting, checking, correction and handoff, including work performed by a second person. Also examine omissions and the importance of the corrections. A faster first draft can create more work for counsel.
For illustration, if an assisted memo takes 8 minutes to prepare and draft, 22 minutes to check and 10 minutes to repair, the total is 40 minutes. If an equivalent manual memo takes 35 minutes through acceptance, that assisted attempt takes 5 minutes longer. The arithmetic is a comparison to make with observed records, not a forecast for Sam's team.
Keep these observations distinct:
- Total effort: all contributors' time through an accepted memo, including corrections.
- Elapsed response: how long procurement waits, including review queues.
- Quality: material omissions, unsupported interpretations and errors found before or after acceptance.
- Usability: whether the recipient understands the approved answer and the open questions.
Factor's March 2026 benchmarking announcement separates broad access from trust in outputs. Its mixed in-house and law-firm survey is useful context, but reported trust or return does not establish that this memo workflow saves time. Use the team's own comparable work and the measuring AI value guide to examine the result.
Professional fees need their own assessment. ABA Opinion 512 says hourly charges must reflect actual time and discusses reasonableness for other fee arrangements. An internal estimate of time saved is not permission to bill hypothetical hours. Responsible counsel should assess the actual engagement and applicable requirements.
If accepted work improves, the next trial can include another suitable agreement with a known complication. If review effort overwhelms the benefit, narrow or redesign the assignment. A documented decision to stop an unsuitable use can be a useful outcome of the trial.
Questions about legal and compliance AI
Is an approved enterprise tool enough for confidential legal work?
Approval of the tool does not establish that every client document or matter may be used with it. For confidential legal work, the responsible team must assess the particular inputs, purpose, access, terms and applicable obligations. Resolve those questions before supplying the agreement or amendment. Use approved practice material while permission for real documents remains unresolved.
Are citations enough to verify AI legal research?
Citations are a route to evidence. A qualified reviewer still needs to check what the source says, whether it supports the proposition, and whether it applies to the relevant facts and jurisdiction. A real authority can be misquoted or used for an unsupported conclusion. The proposition review should also consider missing or contrary material.
Can AI establish that an agreement has no relevant exception?
An unsuccessful search alone cannot establish that conclusion. In a contract-review task, confirm the intended agreement, amendments and other relevant documents were available and examined through an appropriate review process. If coverage is incomplete, preserve the open question and ask the responsible records owner or counsel to resolve it before relying on the memo.
What should legal and compliance teams measure during an AI trial?
Measure the effort and quality of an accepted artifact, such as the reviewed renewal memo, alongside elapsed response and recipient usability. Include preparation, checking, repair and other contributors' work. Compare equivalent tasks and record material omissions separately from cosmetic edits. These observations support a decision about the bounded use; they do not establish whole-department savings.
Do faster AI drafts automatically reduce outside-counsel bills?
The result depends on the work completed, the fee arrangement and applicable requirements. A faster draft can still require substantial professional review. For hourly work, distinguish actual time from estimates of what the task once took, and have responsible counsel assess charges and expenses. Track the accepted deliverable and its complete effort before drawing a financial conclusion.
